Public offer

1. General Provisions

This document constitutes an offer to enter into an agreement under the terms of this public offer in accordance with Articles 435 and 437 of the Civil Code of the Russian Federation.

Contractor: Alexey Mikhailovich Ivanov, Taxpayer Identification Number 263518756860, an individual applying the special tax regime for professional income tax in accordance with Federal Law No. 422-FZ dated November 27, 2018.

This offer governs the provision of access to the Tutorplan service and its related functionality.

2. Definitions

For the purposes of this offer, the following key terms are used:

• Website or Service: the Tutorplan online service available through a web interface;
• Contractor: the person specified in Section 1 of this offer;
• Customer: a legally capable individual, sole proprietor, or legal entity that has accepted the terms of this offer;
• Subscription: granting the Customer the right to access paid Service functionality for a limited period;
• Services: providing access to Service functionality related to lesson planning, student and group records, payments, homework, and other available features.

3. Subject Matter of the Agreement

The Contractor shall provide the Customer with access to Tutorplan and its functionality to the extent corresponding to the option selected by the Customer, and the Customer shall accept and pay for such Services where the relevant functionality is provided for a fee.

The specific scope of functionality, price, access period, availability of a trial period, restrictions, or additional terms may be specified in the Website interface, pricing plan, invoice, Service description, or another electronic document sent to the Customer.

Unless expressly stated otherwise on the Website, paid access to the Service is provided on a subscription basis. Current prices and access periods are published in the Pricing section and are shown to the Customer again before payment is made.

4. Acceptance of the Offer

The Customer accepts this offer by performing one or more of the following actions:

• registering on the Website and beginning to use the Service functionality;
• submitting a request to enable or use paid functionality;
• paying for the Contractor's Services;
• performing other actions that unambiguously demonstrate an intention to use the Service under the terms of this offer.

From the moment the offer is accepted, the agreement is deemed concluded in simple written form.

The Customer's actions in registering, placing an order, paying for Services, beginning to use the Service, or otherwise actually using the Website functionality are deemed conclusive actions confirming full and unconditional acceptance of this offer.

5. Rights and Obligations of the Contractor

The Contractor may:

• change the functionality, interface, and technical characteristics of the Service without unreasonably reducing the scope of a Service already paid for;
• temporarily restrict access to the Service for maintenance, updates, and security measures;
• suspend access if the Customer violates this offer, the laws of the Russian Federation, or third-party rights;
• send the Customer notices related to performance of the agreement.

The Contractor shall:

• provide access to the Service within reasonable limits of technical availability;
• process personal data in accordance with the laws of the Russian Federation and the Service's published documents;
• issue a receipt upon payment in accordance with the laws of the Russian Federation applicable to a professional income taxpayer.

6. Rights and Obligations of the Customer

The Customer shall:

• provide accurate information when registering, submitting requests, and making payments;
• not transfer access to the Service to third parties in violation of the terms of use;
• not use the Service for purposes contrary to the laws of the Russian Federation;
• not take any action capable of disrupting the Website, its security, or the rights of other users;
• pay for the Services on time where the relevant functionality is provided for a fee.

The Customer may:

• use the Service within the paid or otherwise granted scope of access;
• receive information about the terms and price of the Services;
• contact the Contractor with questions about using the Service.

7. Service Fees and Payment Procedure

Service fees are determined by this offer, pricing plans, functionality descriptions, invoices, payment forms, or other materials published on the Website or sent to the Customer electronically.

A Tutorplan subscription is paid at the price and for the period published in the Pricing section and in the payment interface at the time the invoice is created.

All payments under the agreement are made without cash using the methods available on the Website or otherwise agreed by the parties. The Customer's payment obligation is deemed fulfilled when the Contractor receives the funds and the payment is confirmed by the payment system or payment aggregator used on the Website.

As a professional income taxpayer, the Contractor issues and provides the Customer with a receipt through the My Tax application within the time limits and in the manner prescribed by the laws of the Russian Federation.

A new Service price published by the Contractor applies to new payments made after its publication date and does not apply to an access period already paid for by the Customer.

8. Service Provision and Acceptance

The Services are deemed duly provided as the Customer is given access to the Service functionality or as the Customer actually uses the relevant Website features, unless the parties have separately agreed otherwise.

If the Customer does not submit a reasoned complaint within a reasonable period after access to a Service is provided, the Service is deemed accepted without objection, unless otherwise required by the nature of the obligation or mandatory provisions of Russian consumer protection law.

9. Termination and Refunds

Where the Customer is a consumer, the Customer may terminate the agreement under the conditions provided by the laws of the Russian Federation, including the Law of the Russian Federation on Consumer Rights Protection, subject to payment of the Contractor's actual expenses and the cost of Services actually provided, if any.

Where a refund is required by law, it is made using the same method used for payment or another method agreed by the parties.

10. Intellectual Property Rights

Exclusive rights to the Website, software code, database, design, text, graphics, and other intellectual property made available through the Service belong to the Contractor or are lawfully used by the Contractor.

The Customer is granted a limited, non-exclusive, non-transferable right to use the Service solely within the scope and for the purposes provided by this offer and the intended purpose of the Service.

11. Liability of the Parties

The parties are liable in accordance with the laws of the Russian Federation. The Contractor is not liable for inability to use the Service for reasons attributable to the Customer, third parties, telecommunications operators, payment systems, hosting providers, or other circumstances outside the Contractor's reasonable control.

The Contractor is not liable for the content of data entered by the Customer into the Service or for consequences of the Customer using the Website functionality in violation of the law.

12. Personal Data and Confidentiality

Personal data processed in connection with this offer is handled in accordance with the Personal Data Processing Policy and Privacy Policy published on the Website.

13. Dispute Resolution

All disputes and disagreements shall be resolved through negotiation. If the parties cannot reach an agreement, the dispute shall be considered in accordance with the laws of the Russian Federation.

Claims, requests, and other legally significant communications related to performance of the agreement may be sent to the Contractor at webjoker2005@yandex.ru.

14. Final Provisions

The Contractor may amend this offer unilaterally. A new version takes effect when it is published on the Website, unless that version specifies a different effective date.

Amendments to this offer apply to new orders, new subscription periods, and new payments unless expressly stated otherwise in the new version and unless this would conflict with the laws of the Russian Federation.

Matters not governed by this offer are governed by the laws of the Russian Federation.
